Terms & Conditions of Sale

1.    Acceptance of These Terms.

Welcome to Nuventus Inc. (“Nuventus,” “we,” “us,” or “our”). These Terms and Conditions of Sale (“Terms”) govern all purchases, payments, and transactions made through Nuventus’s online store, Nuventus App, or any other digital sales channel operated by Nuventus (collectively, the “Sales Platform”).

By clicking “Place Order,” completing a purchase, or otherwise submitting payment through the Sales Platform, you (“Customer” or “you”) confirm that you have read, understood, and agree to be bound by these Terms, which form a single integrated agreement governing the sale and use of Nuventus products (“Products”).

These Terms apply exclusively to purchases and transactions processed through Nuventus’s payment and sales systems and are separate from Nuventus’s general Website Terms of Use, which govern general browsing and informational access. In the event of any inconsistency, these Terms and the Warranty and Returns Policy control all order, payment, warranty, and return matters.

We may update these Terms from time to time. Updates will not retroactively reduce warranty coverage for Products sold or placed prior to the effective date of such update.

2.    Definitions.

“Nuventus” means Nuventus Inc., a Delaware corporation.
“Products” means Nuventus’s dental and oral-surgery implant systems, restorative components, instruments, accessories, and other regulated medical devices.
“Customer” means the licensed dental professional, oral-surgery practice, or authorized purchasing entity buying Products for professional use.

3.    Scope of Use.

3.1.    Lawful, Professional Use. You agree to use the Sales Platform and Products only for lawful, professional purposes within the United States. You represent that you are a licensed dental professional or acting on behalf of one.
3.2.    Information Accuracy and No Medical Advice. All content on the Sales Platform is provided “as is.” Nuventus does not provide medical or surgical advice; clinical judgment remains solely the responsibility of the treating professional.
3.3.    No Offer by Browsing. Product descriptions are informational only. A binding sale occurs only after Nuventus confirms acceptance of your order.

4.    Orders, Pricing, Taxes, and Payment.

4.1.    Offer and Acceptance. Your submitted order constitutes an offer to buy. Nuventus may accept or reject any order in its sole discretion. A sale becomes binding only when Nuventus issues written or electronic confirmation or ships the Products.
4.2.    Prices. Prices displayed at checkout supersede prior listings. Nuventus may change prices or promotions until checkout is completed.
4.3.    Taxes. Applicable sales, use, and other taxes are automatically calculated and displayed at checkout based on shipping address and current tax rules. You agree to pay all applicable taxes. Tax-exempt customers must submit valid exemption certificates approved by Nuventus prior to purchase.
4.4.    Payment Processing. Payment is due at the time of order unless Nuventus has granted written credit terms. All credit card and digital payments are securely processed by Nuventus’s third-party payment processor (currently Stripe, Inc.). Nuventus does not receive or store full cardholder data. By submitting payment, you authorize Nuventus and its payment processor to process your transaction for the total amount shown at checkout. Your use of Stripe’s payment interface may also be subject to Stripe’s own terms of service and privacy policy, available at https://stripe.com/legal and https://stripe.com/privacy.
4.5.    Customer Payment Obligations. You represent that your payment information is accurate and that you are authorized to use it. If a payment is reversed or charged back, you remain liable for the full amount plus reasonable collection costs.
4.6.    Checkout Acceptance. By clicking “Place Order,” “Pay Now,” or any similar acceptance button, you confirm that you have read and agree to these Terms and Nuventus’ Warranty and Returns Policy. Your electronic acceptance constitutes a legally binding agreement between you and Nuventus. 

5.    Shipping and Risk of Loss.

5.1.    Territory. Nuventus sells and ships Products only within the United States.
5.2.    Delivery. Shipping and handling charges shown at checkout cover packaging and carrier costs. Delivery dates are estimates only.
5.3.    Title and Risk of Loss. Title and risk of loss transfer to you once Nuventus tenders the Products to the carrier. After shipment, you are responsible for storage, sterility, and regulatory traceability.

6.    Returns and Exchanges Policy.

This section summarizes Nuventus’s Warranty and Returns Policy, which is incorporated by reference and governs all return, exchange, and warranty claims. In the event of any inconsistency, the Warranty and Returns Policy shall control.
6.1.    Return Eligibility. Products may be returned within 90 days from the purchase date if unopened, undamaged, and in original packaging with at least six (6) months of remaining shelf life. Returns must be pre-approved and accompanied by a valid Return Authorization Number (“RMA”). Return shipping is the Customer’s responsibility unless otherwise stated by Nuventus.
6.2.    Refunds and Credits.
6.2.1.    Within 30 days: full refund to the original payment method.
6.2.2.    After 30 days but within 90 days: full credit to Customer’s Nuventus account.
6.2.3.    No refunds or credits are available after 90 days.
6.3.    Exchanges. Products may be exchanged within 18 months from the purchase date for items of the same category (e.g., implant for implant, healing abutment for healing abutment). Exchange requests must be accompanied by an order for replacement items.
6.4.    Procedure. Do not hand any items to a Nuventus sales representative for return or exchange. Requests must be initiated via the Nuventus online store, Nuventus App, or Customer Service. Upon approval, Nuventus will issue a reference number and return instructions. Items must be safely sealed and shipped using a traceable method. Nuventus is not responsible for returns lost or damaged in transit.
6.5.    Ineligible Returns. 
No credit or exchange will be granted for:
6.5.1.    Products that have been opened, used, or tampered with
6.5.2.    Products not purchased directly from Nuventus or an authorized reseller.
6.5.3.    Customized or specially manufactured items not meeting warranty criteria.
6.5.4.    Temperature-controlled items or those requiring special handling.
6.5.5.    Capital equipment or software unless expressly allowed in a license agreement.
6.5.6.    Partial returns of promotional or bundled packages.

7.    Warranty Coverage.

7.1.    General. Nuventus provides warranties as outlined below. All warranties apply only to the original purchaser or treating professional and are non-transferable.
7.2.    Lifetime Warranty – Implants. If a Nuventus implant fails to remain stable or intact in the bone into which it was originally placed, Nuventus will replace it at no additional cost with a similar or equivalent model, provided that all clinical guidelines and standard practices have been followed.
7.3.    Lifetime Warranty – Restorative Components. Nuventus offers a lifetime warranty for non-temporary, non-provisional restorative components. If such a component fails under normal conditions, Nuventus will replace it at no charge. If other Nuventus components are damaged solely as a result of that failure, Nuventus will replace them as well, subject to evaluation and approval.
7.4.    Customized or Specially Manufactured Products. Certain customized or specially manufactured products may carry separate warranty terms, valid only if design and preparation processes fully comply with Nuventus’s written instructions and relevant clinical standards.
7.5.    Exclusions and Limitations.
Warranties do not cover:
7.5.1.    Failures caused by accidents, trauma, neglect, misuse, or improper storage.
7.5.2.    Damage from unauthorized modifications or third-party alterations.
7.5.3.    Off-label use or non-compliance with Nuventus instructions.
7.5.4.    Nuventus does not guarantee specific clinical results or outcomes.

8.    Warranty Claims Process.

8.1.    Initiating a Claim. If a product is believed to have failed under warranty, the treating professional or purchaser must promptly contact Nuventus for assessment. Supporting records such as radiographs, clinical notes, or product details may be required.
8.2.    Evaluation and Resolution. Nuventus will evaluate whether the claim falls within the scope of warranty coverage. If approved, Nuventus will replace the affected product or provide an equivalent replacement if the original model is unavailable.
8.3.    Limitations of Coverage.
Warranty coverage does not include:
8.3.1.    Clinical treatment fees, chair time, or professional services
8.3.2.    Laboratory or shipping fees unless specified by Nuventus.
8.3.3.    Ancillary items (instruments or materials) used contrary to Nuventus instructions.

9.    Disclaimers and Limitation of Liability.

9.1.    Disclaimer of Other Warranties. TO THE EXTENT PERMITTED BY LAW, NUVENTUS DISCLAIMS ALL WARRANTIES BEYOND THOSE EXPRESSLY STATED HEREIN, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS DOCUMENT SETS FORTH THE ENTIRE REMEDY FOR PRODUCT DEFECTS AND SUPERSEDES PRIOR AGREEMENTS OR STATEMENTS REGARDING WARRANTIES. CONSUMERS MAY HAVE ADDITIONAL RIGHTS UNDER STATE LAW.
9.2.    Limitation of Liability. IN NO EVENT SHALL NUVENTUS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR BUSINESS), WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY. NUVENTUS’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE OF THE APPLICABLE PRODUCT. NOTHING HEREIN LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR STATUTORY CONSUMER PROTECTIONS.

10.    Prohibited Resale and Export.

Unauthorized resale or redistribution of Products voids all warranty and return rights. Nuventus Products are for professional use within the United States only.

11.    Governing Law and Jurisdiction.

These Terms and the Warranty and Returns Policy are governed by the laws of the State of New York, excluding conflict-of-law principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Exclusive jurisdiction lies with the state and federal courts located in Manhattan, New York, unless mandatory local law dictates otherwise.

12.    Force Majeure.

Nuventus is not liable for non-performance or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, strikes, or network outages.

13.    Severability and Entire Agreement.

If any provision of these Terms is held invalid, it shall be enforced to the maximum extent permissible, and the remainder shall remain in effect. These Terms and the Warranty and Returns Policy constitute the entire agreement between Nuventus and the Customer for all Product sales and related matters.
