Welcome to Nuventus Inc. (“Nuventus,” “we,” “us,” or “our”). These Website Terms and Conditions (“Terms”) govern your access to and use of Nuventus’s website and related digital channels (collectively, the “Site”).

By accessing or using this Site, you (“You” or “Your”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of the Site. Use of the Site is subject to these Terms. Separate Terms and Conditions of Sale all product purchases and transactions.

2. Entity Information

The Site is operated by Nuventus Inc., a Delaware corporation. All intellectual property rights in the Site and related materials are owned by Nuventus AG, and licensed to Nuventus Inc.

3. Definitions

“Nuventus” refers to Nuventus Inc., a Delaware corporation operating this Site.
“Site” refers to all webpages located at www.nuventusdental.com or any related Nuventus digital platforms. “Products” means any goods, services, or related items described or promoted on the Site, including but not limited to dental or medical devices and accompanying software.

4. Scope of Use

4.1 Lawful Use. You agree to use the Site only for lawful purposes and in accordance with these Terms. You shall not attempt to gain unauthorized access to the Site or any related systems or data by hacking, password mining, or other illegitimate means.

4.2 Information Accuracy. While Nuventus strives to provide accurate and up-to-date information, all content on the Site is provided “as is,” without warranties of any kind. Information on the Site is intended for licensed dental professionals and distributors and is not intended for direct patient use or to replace professional medical advice.

4.3 No Offer or Solicitation. Product information on the Site is for general informational purposes and does not constitute an offer or solicitation. Product availability and regulatory clearance may vary by market. Please contact Nuventus for current information.

5. Orders, Pricing, and Payment

Any purchase or transaction initiated through the Site or other Nuventus platforms is governed by Nuventus’s Terms and Conditions of Sale. Prices, payment methods, taxes, and applicable conditions are defined therein.

6. Returns and Cancellations
All product return, exchange, and warranty matters are governed exclusively by Nuventus’s Terms & Conditions of Sale. Unauthorized returns will not be accepted.

7. Intellectual Property

7.1 Ownership. All intellectual property rights, including copyrights, trademarks, trade dress, and patents, relating to the Site, Products, and any content provided by Nuventus remain the sole property of Nuventus AG or its licensors.

7.2 Restrictions. You may not copy, reproduce, distribute, modify, or create derivative works of any Site content or Nuventus materials unless expressly authorized in writing by Nuventus. You may not remove or alter any proprietary notices or trademarks from the Products or related materials.

8. Limited Warranty and Disclaimer

8.1 Warranty. Some Products may be covered by Nuventus’s official warranty program, as described in the Nuventus’s Terms & Conditions of Sale. Except as expressly provided therein, no additional warranties apply.

8.2 Disclaimer of Other Warranties. EXCEPT AS EXPRESSLY PROVIDED IN NUVENTUS’ TERMS & CONDITIONS OF SALE AND EXCEPT WHERE PROHIBITED BY LAW, NUVENTUS DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 Third-Party Services. Nuventus is not responsible for products, services, or software provided by third parties, even if recommended or distributed by Nuventus.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVENTUS SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATING TO USE OF THE SITE OR PRODUCTS. IN NO EVENT SHALL NUVENTUS’S TOTAL LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCTS IN QUESTION, EXCLUDING TAXES AND SHIPPING. NOTHING HEREIN LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR STATUTORY CONSUMER PROTECTION LAWS.

10. Resale, Redistribution, and Use

10.1 Prohibited Uses. Unauthorized resale, redistribution, or transfer of Nuventus Products is prohibited. Nuventus reserves the right to pursue legal remedies for misuse or unauthorized distribution.

10.2 Professional Use. Certain Products may only be purchased or used by licensed professionals. By purchasing or using Products, you represent that you are duly licensed and authorized to do so.

10.3 Regulatory Status. Products described on this Site may not be available in all markets or may be subject to regulatory clearance. Please contact Nuventus for country-specific information.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of New York, excluding its conflict-of-law principles and excluding application of the United Nations Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue lies with the state and federal courts located in Manhattan, New York, unless mandatory local laws dictate otherwise.

12. Amendments

Nuventus may update or modify these Terms at any time. If changes materially affect your rights, we will provide advance notice via email, prominent notice on the Site, or direct communication. Continued use of the Site after updates take effect constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any referenced policies or written agreements, constitute the entire agreement between Nuventus and the user regarding use of the Site and supersede all prior understandings or communications.
